Terms and Conditions for GMW Studio (Digital Marketing Agency)
1. Agreement to Terms
By engaging the services of GMW Studio (referred to as “the Agency”), you (“the Client”) agree to the following terms and conditions. This agreement outlines the obligations and expectations for both parties.
2. Services Provided
The Agency offers a range of digital marketing services, including but not limited to:

- Social Media Marketing (SMM)
- Pay-Per-Click Advertising (PPC)
- Content Creation
- Website Development and Design
- Email Marketing
- Branding and Graphic Design
Specific deliverables will be outlined in the Service Agreement or Proposal provided to the Client.
3. Payment Terms
- Billing Cycle: Payments are invoiced monthly, or as per the agreed timeline in the service agreement.
- Payment Method: Payments can be made via bank transfer, online payment gateways, or other methods specified by the Agency.
- Late Payments: Payments not received within 2 days of the invoice date may incur a late fee of 200 Rs Services may be paused until payment is received.
- Refund Policy: Payments are non-refundable unless explicitly stated in the service agreement.
4. Client Obligations
- Provide timely access to necessary resources, including branding materials, website credentials, and other relevant data.
- Ensure all provided materials do not infringe on third-party rights or violate any laws.
- Approve content and campaigns promptly to avoid delays.
5. Intellectual Property
- All content created by the Agency remains the property of the Agency until full payment is received.
- Upon payment, the Client gains full ownership of deliverables unless otherwise stated.
6. Confidentiality
Both parties agree to keep confidential information private and not disclose it to any third party without prior written consent.
7. Termination of Agreement
- Either party may terminate the agreement with [30] days’ written notice.
- In the event of termination, the Client is liable for payments for services rendered up to the termination date.
8. Limitation of Liability
The Agency is not responsible for any indirect, consequential, or financial losses resulting from the implementation of campaigns, delays, or errors.
9. Performance and Results
While the Agency aims to deliver measurable results, outcomes such as rankings, traffic, and conversions cannot be guaranteed due to variables beyond the Agency’s control.
10. Indemnification
The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or legal actions resulting from materials or information provided by the Client.
11. Changes to Terms
The Agency reserves the right to update these terms at any time. Clients will be notified of significant changes.
12. Governing Law
